Please read these terms carefully before using PortaPro services.

Effective Date: January 15, 2026

These Terms of Service ("Terms") govern your access to and use of PortaPro Software ("the Service," "we," "our," "us"), including all subdomains such as companyname.portaprosoftware.com. By creating an account or using the Service, you agree to these Terms.

If you are entering into this agreement on behalf of a company, you represent that you have the authority to bind that company.

1. The PortaPro Software Platform

PortaPro Software provides a cloud-based operations platform for portable sanitation and rental companies, including tools for:

  • Unit and asset tracking
  • Routing, dispatch, and scheduling
  • Driver mobile workflows and service reporting
  • Customer management and portals
  • Invoicing and payments
  • Fleet and maintenance management
  • Inventory and consumables tracking
  • Compliance logging and documentation
  • Reporting and analytics

Use of the Service requires:

  • A registered organization account
  • Valid authentication via Clerk
  • Internet or mobile access
  • An active subscription

2. Eligibility

You must be at least 18 years old and legally able to enter into binding agreements to use PortaPro Software.

3. Account Registration & Security

3.1 Registration

To access the Service, users must create an account through our authentication provider. You agree to provide accurate, current, and complete information.

3.2 Organization Access Control

Organizations are responsible for managing user roles, permissions, and access. PortaPro Software enforces role-based access controls, but your organization remains responsible for internal access governance.

3.3 Account Security

You are responsible for:

  • Maintaining the confidentiality of login credentials
  • Managing user access within your organization
  • Removing former employees or contractors promptly

We are not liable for unauthorized access caused by mismanaged credentials.

4. Subscription Plans & Billing

4.1 Subscription Fees

Access to PortaPro Software requires a paid subscription. Pricing is published on portaprosoftware.com and may change with notice.

4.2 Billing via Stripe

Subscription billing is processed through Stripe. PortaPro Software does not store or process raw credit card or bank information.

4.3 Free Trials

We may offer free trials at our discretion. At the end of the trial period, your subscription will automatically convert to a paid plan unless canceled prior to renewal.

4.4 Late or Failed Payments

If billing attempts fail:

  • Your access may be limited or suspended
  • Accounts may be terminated for extended non-payment
  • We will attempt to notify the account owner before termination

4.5 Refund Policy

Subscriptions are billed in advance. Refunds are not guaranteed and may be granted at our discretion.

5. Payments & Stripe Connect

5.1 Embedded Payments Platform

PortaPro Software offers embedded payment processing through Stripe Connect. This allows your organization to accept payments from your customers directly through the platform.

By enabling payments, you agree to:

  • Stripe's Connected Account Agreement
  • Stripe's Services Agreement
  • All applicable card network rules and regulations

5.2 Platform Fee

PortaPro Software charges a platform fee on each transaction processed through the Service. This fee is applied in addition to Stripe's standard processing fees and is deducted from each transaction.

Platform fees may vary by plan, agreement, or negotiated rate.

5.3 Stripe Account Requirement

To accept payments, your organization must connect a Stripe account. Stripe is the merchant of record and handles:

  • Payment processing
  • Payouts
  • Tax reporting
  • Chargebacks and disputes
  • PCI compliance

PortaPro Software does not hold, transmit, or store customer card data.

5.4 Payment Responsibility

You are solely responsible for:

  • The goods and services you provide
  • Your customer relationships
  • Refunds, disputes, and chargebacks
  • Compliance with applicable tax and financial regulations

PortaPro Software acts solely as a technology platform and payment facilitator.

6. Use of the Service

6.1 Acceptable Use

You agree not to:

  • Use the Service for illegal activities
  • Attempt unauthorized access to another organization's data
  • Reverse engineer or disassemble the platform
  • Upload malicious code or disrupt the Service

6.2 Content Responsibility

You are solely responsible for:

  • Data, photos, documents, or files uploaded
  • Routing, scheduling, and operational configuration
  • Customer, billing, and financial records

7. Data Ownership & Customer Data

7.1 You Own Your Data

All operational data entered into PortaPro Software — including customer records, service logs, images, invoices, payments, and reports — belongs to your organization.

7.2 Our Use of Your Data

We only use your data to:

  • Provide the Service
  • Improve reliability and performance
  • Maintain platform security
  • Support users
  • Fulfill billing, legal, and contractual obligations

We do not sell, rent, or share your data with advertisers.

7.3 Data Export

You may request a data export at any time by contacting privacy@portaprosoftware.com.

8. Data Storage & Security

Your data is stored and processed through secure third-party infrastructure, including:

  • Supabase (database, file storage, backups)
  • Vercel (hosting, serverless functions, deployments)
  • Clerk (authentication & identity)
  • Stripe (payments & payouts)
  • Mapbox (maps)
  • Twilio (SMS, if enabled)

We employ industry-standard security measures:

  • Encryption in transit (TLS 1.2+)
  • Encryption at rest
  • Secret management and access controls
  • Isolated environments and CI/CD pipelines
  • Vendor SOC 2 compliance where applicable

9. Service Availability

We strive for reliable uptime, but we cannot guarantee uninterrupted access. Downtime may occur due to:

  • Maintenance
  • Third-party outages
  • Network issues
  • Unexpected disruptions

We are not liable for downtime caused by external providers.

10. Third-Party Services

PortaPro Software integrates with third-party services. By using the platform, you agree to their applicable terms, including:

  • Stripe
  • Clerk
  • Supabase
  • Vercel
  • Mapbox
  • Twilio

We are not responsible for service interruptions caused by third-party providers.

11. Termination

11.1 Cancellation

You may cancel your subscription at any time unless subject to a contracted commitment period.

For month-to-month plans:

  • Access remains active through the current billing cycle
  • You may request a data export prior to closure
  • Data is deleted within 60 days unless legally required to retain it

11.2 Termination by PortaPro Software

We may suspend or terminate accounts for:

  • Non-payment
  • Security risks
  • Platform misuse
  • Violations of these Terms
  • Fraudulent or illegal behavior

12. Limitation of Liability

To the fullest extent permitted by law, PortaPro Software is not liable for:

  • Lost revenue or profits
  • Loss of data
  • Business interruption
  • Indirect or consequential damages
  • User configuration errors
  • Third-party service failures

Your exclusive remedy is to stop using the Service.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available." We do not warrant that:

  • The Service will be uninterrupted or error-free
  • It will meet every business requirement
  • Third-party integrations will operate without issue

14. Changes to These Terms

We may update these Terms as the platform evolves. When changes occur, we will:

  • Update the Effective Date
  • Notify organization owners

Continued use constitutes acceptance.
