Please read these terms carefully before using PortaPro services.

These Terms of Service ("Terms") govern your access to and use of PortaPro Software ("the Service," "we," "our," "us"), including all subdomains such as companyname.portaprosoftware.com. By creating an account or using the Service, you agree to these Terms.

If you are entering into this agreement on behalf of a company, you represent that you have the authority to bind that company.

1. The PortaPro Software Platform

PortaPro Software provides a cloud-based operations platform for portable sanitation companies, including tools for unit tracking, routing, scheduling, customer management, invoicing, maintenance logging, inventory management, reporting, and customer portals.

Use of the Service requires:

  • A connected organization account
  • Valid authentication via Clerk
  • Internet or mobile access
  • A paid subscription (for full access)

2. Eligibility

You must be at least 18 years old and legally able to enter into binding agreements to use PortaPro Software.

3. Account Registration & Security

3.1 Registration

To access the Service, users must create an account through Clerk. You agree to provide accurate, up-to-date information.

3.2 Access Control

Organizations are responsible for managing roles and permissions assigned to their users. PortaPro Software enforces role-based access to ensure proper separation of duties.

3.3 Account Security

You are responsible for:

  • Maintaining the confidentiality of login credentials
  • Managing user access within your organization
  • Removing former employees or contractors promptly

We are not liable for unauthorized access caused by mismanaged credentials.

4. Subscription Plans & Billing

4.1 Subscription Fees

Access to PortaPro Software requires a paid subscription. Pricing is published on portaprosoftware.com and may change with notice.

4.2 Billing via Stripe

Billing and payments are processed through Stripe. PortaPro Software does not store or process raw credit card or bank information.

4.3 Late or Failed Payments

If billing attempts fail:

  • Your access may be limited or suspended
  • Accounts may be terminated for extended non-payment
  • We will notify the account owner before termination

4.4 Refund Policy

Subscriptions are billed in advance. Refunds are not guaranteed and may be granted at our discretion.

5. Use of the Service

5.1 Acceptable Use

You agree not to:

  • Use the Service for illegal activities
  • Attempt unauthorized access to another organization's data
  • Reverse engineer or disassemble the platform
  • Upload malicious code or disrupt the Service

5.2 Content Responsibility

You are solely responsible for:

  • Photos, documents, or files uploaded to the platform
  • Routing, scheduling, and task configuration
  • Customer and financial records managed within the system

6. Data Ownership & Customer Data

6.1 You Own Your Data

All operational data entered into PortaPro Software—including customer information, unit details, service logs, images, documents, quotes, invoices, and reports—belongs to your organization.

6.2 Our Use of Your Data

We only use your data to:

  • Provide the Service
  • Improve reliability and performance
  • Maintain platform security
  • Support users
  • Fulfill billing, legal, or contractual obligations

We do not sell, rent, or share data with advertisers.

6.3 Data Export

You may request an export of your organization's data at any time by contacting privacy@portaprosoftware.com.

7. Data Storage & Security

Your data is stored and processed through secure third-party infrastructure, including:

  • Supabase (database, file storage, backups)
  • Vercel (hosting, serverless functions, deployments)
  • Clerk (authentication & user identity)
  • Stripe (payments & Connect payouts)
  • Mapbox (maps)
  • Twilio (SMS, if enabled)

We employ industry-standard security measures:

  • Encryption in transit (TLS 1.2+)
  • Encryption at rest
  • Strict secret management
  • Role-based access controls
  • Isolated deployments and CI/CD pipelines
  • Vendor SOC 2 compliance where applicable

8. Service Availability

We strive for reliable uptime, but we cannot guarantee uninterrupted access. Downtime may occur due to:

  • Maintenance
  • Third-party outages (Vercel, Supabase, Stripe, Clerk, etc.)
  • Network issues
  • Unexpected service disruptions

We are not liable for downtime caused by external providers.

9. Third-Party Services

PortaPro Software integrates with several trusted services. By using the platform, you agree to the terms of these providers, including:

  • Stripe
  • Clerk
  • Supabase
  • Vercel
  • Mapbox
  • Twilio

We are not responsible for issues arising from third-party service interruptions.

10. Termination

10.1 Cancellation & Commitment Periods

You may cancel your subscription at any time unless your organization has entered into a contracted commitment period (such as an annual or multi-month plan offered at a discounted rate).

If you select a discounted long-term plan:

  • The commitment period applies for the full term
  • Early cancellation may not be available or may be subject to early-termination rules specific to your agreement

For month-to-month subscriptions:

  • You may cancel anytime
  • Access remains active through the current billing cycle
  • You may request a data export before closure
  • All organizational data will be permanently deleted within 60 days unless legally required to retain it

10.2 Termination by PortaPro Software

We may suspend or terminate accounts for:

  • Non-payment
  • Security risks or platform misuse
  • Violations of these Terms
  • Fraudulent or illegal behavior

11. Limitation of Liability

To the fullest extent permitted by law, PortaPro Software is not liable for:

  • Lost profits or revenue
  • Loss of data
  • Business interruption
  • Indirect or consequential damages
  • Errors caused by user configuration
  • Failures or outages of third-party providers

Your exclusive remedy is to stop using the Service.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available." We do not warrant that:

  • The Service will be uninterrupted or error-free
  • It will meet every business requirement
  • Third-party integrations will operate without issue

13. Changes to These Terms

We may update these Terms as the platform evolves. When changes occur, we will:

  • Update the "Effective Date"
  • Notify organization owners

Continued use of the Service constitutes acceptance of updated Terms.
